All Services are provided “as-is” and “as available”, subject to the disclaimers and limitations outlined below.

3. No Warranty

To the maximum extent permitted by law, ComputersFirst expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement

  • Warranties regarding the accuracy, reliability, completeness, or timeliness of any Services or information

  • Warranties that software, hardware, or consulting advice will meet your requirements or operate uninterrupted or error-free

You acknowledge that use of our Services involves risk, including potential data loss, downtime, or errors, and you assume all such risks unless otherwise agreed on a Service Level agreement, Scope of Work document or a signed agreement between the two parties for a service or a product.

4. Limitation of Liability

ComputersFirst Pty Ltd and its affiliates, officers, directors, employees, or agents shall not be liable for any:

  • Direct, indirect, incidental, special, consequential, punitive, or exemplary damages

  • Loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings

  • Costs associated with downtime, system failures, viruses, malware, or data breaches

  • Damages arising from reliance on consulting advice, software configurations, or hardware installations

Exceptions: Nothing in these Terms limits liability for:

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Any other liability which cannot legally be limited under applicable law

5. Indemnification

You agree to indemnify and hold harmless ComputersFirst Pty Ltd, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, or expenses, including legal fees, arising from your:

  • Use or misuse of our Services

  • Violation of these Terms

  • Violation of any third-party rights

  • Failure to maintain appropriate data backups or security measures

6. IT Support and Consulting Services

When receiving IT support or consulting services from ComputersFirst:

  • We provide recommendations and support based on information available at the time.

  • You are responsible for ensuring that any changes, configurations, or advice are appropriate for your environment.

  • We do not guarantee that issues will be resolved or that systems will be completely secure or free from errors.

  • You must maintain backups of all critical data before implementing any changes recommended by ComputersFirst.

7. Software and Hardware

  • Software: ComputersFirst does not guarantee that third-party software will meet your requirements, be free of defects, or operate without interruption.

  • Hardware: While we aim to provide reliable hardware solutions, we are not liable for failures, malfunctions, or damages caused by improper use, environmental factors, or third-party software.

  • No Data Loss Liability: ComputersFirst is not responsible for any data loss arising from the installation, maintenance, or repair of hardware or software. You are responsible for creating and maintaining adequate backups.

8. User Obligations

You agree to:

  • Use our Services in compliance with all applicable laws and regulations

  • Maintain security of your accounts, passwords, and devices

  • Avoid actions that may harm ComputersFirst, its systems, or other users

  • Not attempt to bypass or compromise our Services, networks, or systems

Failure to comply may result in suspension or termination of Services without notice.

9. Intellectual Property

All intellectual property rights in our Services, products, content, and materials remain the exclusive property of ComputersFirst or its licensors. You may not:

  • Copy, distribute, reproduce, or create derivative works

ComputersFirst may provide access to third-party products, software, or services. We do not control and are not responsible for third-party offerings, including content, accuracy, legality, or availability. Reliance on third-party services is at your own risk.

Any confidential information shared during consulting or support engagements must be treated as confidential. ComputersFirst will make reasonable efforts to protect your information, but we are not liable for unauthorized access or disclosure due to events beyond our control.

12. Termination

We may terminate or suspend your access to our Services at any time, without notice or liability, for reasons including:

  • Breach of these Terms

  • Illegal, harmful, or unauthorized activity

  • Any risk to ComputersFirst or its clients
